In the course of using our Services, you may receive confidential information about businesses, their owners, financial details, operations, and other proprietary information ("Confidential Information"). You agree to:

• Not disclose Confidential Information to any third party without prior written consent

YBR's fee structure is typically commission-based, meaning fees are earned upon the successful closing of a business transaction. Specific fee arrangements are detailed in separate listing agreements or engagement letters executed between YBR and the client.

Business valuations provided through the Website's valuation calculator are offered free of charge and are for informational purposes only. They do not constitute formal appraisals or professional opinions of value.

Any additional services, such as consulting engagements or specialized marketing packages, will be subject to separate fee agreements. All fees and payment terms will be clearly communicated and agreed upon in writing before services commence.

Without limiting the foregoing, YBR does not warrant or guarantee:

• The accuracy, completeness, or reliability of any business valuations, financial projections, or market analyses provided through the Website
• That any business transaction will be completed successfully

You agree to indemnify, defend, and hold harmless Your Biz Rep, its officers, directors, employees, agents, brokers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Website or Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content or information you provide through the Website or Services.

We may terminate or suspend your access to the Website and Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Website and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to confidentiality obligations, intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in the State of Florida for the resolution of any disputes arising out of or relating to these Terms or the Services.
